Executive Committee

Charge: The Executive Committee acts in place of the board, as stipulated in the by-laws, when issues arise that cannot wait for the next board meeting. It provides consultation and guidance to the executive director. Among its other responsibilities are: approving any extraordinary expenditure of funds, subject to board ratification; evaluating the performance of the executive director; serving as the steering committee for strategic planning; reviewing committee and board performance; and taking on such other duties as established by the board of directors. All action of this committee requires the affirmative vote of five members of the committee.

Composition: President (chair), president-elect, vice president, immediate past president, secretary, four other board members elected by the board, one of whom is a regionally-elected director and one of whom is the chair of a standing committee.

Terms of Office: Ex officio in the case of elected officers; three years renewable once in the case of members elected by the board.
